We are seeking a highly skilled Lateral Associate to join a premier Capital Markets team in New York, NY . This role offers an exciting opportunity to contribute to high-profile U.S. securities offerings while working with an elite group of legal professionals.

Capital Markets Expertise and Practice

This position is with a globally recognized law firm, renowned for its expertise in capital markets transactions. The teams key focus areas include:
  • Equity Offerings: Advising on initial public offerings (IPOs), follow-on offerings, and private placements.
  • Debt Offerings: Handling investment-grade, high-yield debt issuances, and structured debt transactions.
  • Securities Compliance: Providing counsel on SEC reporting, disclosure obligations, and corporate governance matters.
  • Cross-Border Transactions: Managing complex global securities offerings and compliance with U.S. securities laws.
In this position, you will:
  • Represent issuers, underwriters, and investors in U.S. securities offerings, including IPOs, SPACs, and high-yield debt transactions.
  • Draft and review offering memoranda, registration statements, prospectuses, and other disclosure documents.
  • Advise clients on compliance with U.S. securities regulations and corporate governance matters.
  • Collaborate with cross-functional teams to navigate complex securities transactions and meet client goals.
  • Develop innovative solutions to address regulatory and transactional challenges in capital markets.

Experience and Expertise
  • Experience: Law school graduate from 2018 to 2021 with extensive experience in U.S. securities offerings.
  • Practice Areas: Proven expertise in equity and debt capital markets transactions, securities compliance, and related areas.
Educational Credentials
  • Juris Doctor (JD): Degree from a top-tier, accredited law school with exceptional academic credentials.

  • Legal Acumen: Strong skills in drafting, regulatory analysis, and transactional strategy.
  • Strategic Thinking: Ability to align securities offerings with client and regulatory objectives.
